These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User") and Lean6 Technology Ltd., a corporation incorporated under the laws of Alberta ("Lean6", "we", "us", or "our"), governing your access to and use of the RefManager software platform, including all related features, tools, dashboards, and services (collectively, the "Service").
By clicking "Sign in with Google," by accessing the Service through any means, or by otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms effective as of the date of first access. If you are accessing the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Access to the Service is granted solely by invitation of an authorized administrator. Unauthorized access is strictly prohibited.
For the purposes of these Terms, the following definitions apply:
The Service is available to individuals who have been granted access by an authorized Administrator. You represent and warrant that all information you provide in connection with the Service is accurate, current, and complete.
Minors may access and use the Service solely under the direct supervision of a parent or legal guardian who has read and agreed to these Terms on the Minor's behalf. By permitting a Minor to access the Service, the parent or guardian accepts full responsibility for: the Minor's use of the Service and compliance with these Terms; the accuracy of information submitted on behalf of the Minor; and any consequences arising from the Minor's access to or use of the Service.
Administrators are responsible for ensuring that any Minor Users within their organization are appropriately supervised and that appropriate consent has been obtained.
RefManager is a proprietary software platform developed and operated by Lean6 Technology Ltd. designed to assist fencing organizations in managing referee cadres, tournament assignments, development evaluations, scheduling, and related administrative functions.
The Service includes, without limitation, the following functionality:
Lean6 reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, and shall not be liable to any User or third party for any such modification, suspension, or discontinuance.
Access to the Service is provided through Google Authentication. You are responsible for maintaining the security of your Google account credentials and for all activities that occur under your account. You agree to notify an Administrator immediately upon becoming aware of any unauthorized access to or use of your account.
You agree to: provide accurate, current, and complete information when your account is created and to keep such information up to date; use the Service only for lawful purposes and in accordance with these Terms; not share your account credentials with any other person; and not permit any other individual to access the Service using your account.
Administrators may suspend or remove User access at any time in their sole discretion. Lean6 may also suspend or terminate any account at any time for any breach of these Terms or for any other reason Lean6 deems appropriate.
You agree to use the Service only for its intended purpose and in accordance with all applicable laws, regulations, and these Terms. Without limiting the foregoing, you agree not to:
Lean6 reserves the right to investigate and take appropriate legal action against any User who, in Lean6's sole discretion, violates this provision.
In the course of providing the Service, Lean6 collects and processes personal information pertaining to Users and referees, including but not limited to names, email addresses, dates of birth, location information, ratings, and performance records. Such information is collected for the purpose of operating and improving the Service, facilitating tournament administration, and supporting referee development.
Lean6 is committed to complying with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act, S.C. 2000, c. 5 (PIPEDA) and the Personal Information Protection Act, S.A. 2003, c. P-6.5 (PIPA Alberta), as applicable.
By accessing the Service, you consent to the collection, use, and disclosure of your personal information as described in these Terms. Where a User provides personal information relating to a third party (including a Minor), that User represents and warrants that they have obtained all necessary consents for such disclosure.
Individuals wishing to access, correct, or request deletion of their personal information held by Lean6 may submit a written request to the contact address set out in Section 16. Lean6 will respond to such requests within thirty (30) days, subject to any applicable exceptions under Canadian law.
All Referee Data entered into, generated by, or stored within the Service — including but not limited to referee profiles, ratings, evaluations, development notes, assignment histories, bout records, and performance data — is and shall remain the exclusive property of Lean6 Technology Ltd.
By entering Referee Data into the Service, each User irrevocably acknowledges and agrees that: such data becomes the property of Lean6 upon entry; Lean6 may use, process, aggregate, and analyse Referee Data for the purpose of operating, developing, and improving the Service; no User, referee, or organization acquires any proprietary right or interest in Referee Data by virtue of entering or viewing it within the Service; and referees accessing their own records through the Service do so for informational purposes only and do not thereby acquire ownership of those records.
To the extent any User submits Content to the Service (including evaluation notes, comments, or other input), the User grants Lean6 a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and display such Content in connection with the operation of the Service.
The Service, including its design, functionality, source code, algorithms, interfaces, and all associated documentation, is the exclusive intellectual property of Lean6 Technology Ltd. and is protected by Canadian copyright law, trade secret law, and other applicable intellectual property legislation.
Nothing in these Terms grants you any right, title, or interest in or to the Service or any portion thereof. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for its intended purpose during the period of your authorized access.
The name "RefManager," the Lean6 name and logo, and any associated trade-marks, whether registered or unregistered, are the property of Lean6 Technology Ltd. You may not use any such trade-marks without the prior written consent of Lean6.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, LEAN6 EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Lean6 makes no warranty that: the Service will be uninterrupted, error-free, or free from harmful components; any data stored within the Service will be accurate, complete, or preserved indefinitely; the Service will meet your particular requirements; or defects in the Service will be corrected within any particular timeframe.
You assume all risk associated with your use of the Service and any decisions made in reliance upon data contained therein.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEAN6 TECHNOLOGY LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
In no event shall Lean6's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the total amounts paid by you to Lean6 in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100.00).
Some provinces do not permit the exclusion or limitation of implied warranties or liability for incidental or consequential damages. To the extent that applicable law does not permit such exclusions or limitations, they shall apply only to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Lean6 Technology Ltd. and its directors, officers, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: your use of or access to the Service; your breach of any provision of these Terms; your violation of any applicable law or the rights of any third party; or any Content you submit to the Service.
Lean6 reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Lean6 in asserting any available defences.
Lean6 reserves the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Without limiting the foregoing, your access may be terminated for: any breach of these Terms; any conduct that Lean6 determines, in its sole discretion, to be harmful to the Service, other Users, or third parties; any request by a law enforcement or regulatory authority; or cessation of the Service.
Upon termination, your right to access and use the Service shall immediately cease. Provisions of these Terms that by their nature should survive termination shall do so, including Sections 7, 8, 9, 10, 11, 12, and 15.
Lean6 reserves the right to amend these Terms at any time. When material changes are made, Lean6 will update the "Effective Date" at the top of this document and, where reasonably practicable, provide notice to Users through the Service or by email.
Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Service immediately.
It is your responsibility to review these Terms periodically. The most current version of these Terms will always be available within the Service.
These Terms and any dispute arising out of or in connection with these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You irrevocably attorn to the exclusive jurisdiction of the Court of King's Bench of Alberta for the resolution of any dispute arising out of or relating to these Terms or the Service. You waive any objection to the laying of venue of any such proceeding in Alberta and any claim that such proceeding has been brought in an inconvenient forum.
Before initiating any formal legal proceeding, both parties agree to attempt in good faith to resolve any dispute through direct negotiation. Either party may initiate this process by providing written notice to the other describing the dispute in reasonable detail. The parties shall have thirty (30) days from such notice to attempt to resolve the dispute informally before either party may pursue formal remedies.
